1. PARTIES
This Speaking Engagement Agreement (hereinafter referred to as the “Agreement”) is entered into on (the “Effective Date”), by and between Shalan Landry (hereinafter referred to as the “Speaker”) of Acceleration Gateway (AG) and The name(s) listed above (hereinafter referred to as the “Client”) (collectively referred to as the “Parties”).

2. PURPOSE OF THE AGREEMENT
The Purpose of this Agreement is to enter a contractual relationship between the Speaker and the Client, where the Speaker will provide the following services (collectively, the "Services"): Speaking to pre-arranged and scheduled audience for the Client.

3. TERM
This Agreement shall terminate automatically upon completion by Professional Speaker of the Services required by this Agreement. This Agreement may be renewed only by the written consent of the Parties.

4. PERFORMANCE OF SERVICES
The manner in which the Services are to be performed and the specific hours to be worked by Professional Speaker shall be determined by the Client. The Client will rely on Professional Speaker to provide services during the hours that are agreed upon to fulfill Professional Speaker's obligations under this Agreement.

5. ROLES AND RESPONSIBILITIES
The Speaker has a background in biblical teachings, motivational and inspirational keynote speaking, workshops and seminars, teambuilding, and facilitation and is willing to provide services to the Client based on this background.

6. PAYMENT FOR SERVICES
The Client will prepay for the performance of services online via the Gig Salad or contact Shalan Landry via AG website [(link hidden)]. The Client will pay an agreed upon fee to Professional Speaker for the Services (hereinafter referred to as “the Fee”), of which at least half (½) is due within 10 days of signing of this agreement and the remaining (½) of the fee is to be paid to the Speaker within 72 hours (3 days) of the speaking engagement and/or before the Speaker is to begin travel to destination of scheduled speaking engagement, whichever comes first. AG will invoice the Client once this agreement has been signed and submitted. A receipt will be sent to the Client after each payment is processed. A notification will be sent via email when the Client has paid total amount due. The Client has the option to pay 100% of the fee in a single payment after signing of agreement and within the 10-day period.

7. CONFIDENTIALITY
Certain terms, such as pricing, and other conditions of this Agreement and any personal and/or private materials provided during the term of the Agreement must be kept confidential by the Speaker and Acceleration Gateway, unless the disclosure is required pursuant to process of law.

Disclosing or using this information for any purpose beyond the scope of this Agreement, or beyond the exceptions set forth above, is expressly forbidden without the prior consent of the Client.

8. CANCELLATION POLICY
The Client may cancel for any reason without penalty within 15 days of signing of this agreement. If the Client processes the Agreement through Gig Salad, Shalan Landry and AG will abide with Gig Salad policies and processes. Otherwise, AG's policy will stand. Until a formal, written of cancellation notice is received by Shalan Landry / AG and cancellation is finalized, this agreement will continue and the Client is responsible for paying for said service or services. To cancel, the Client must either follow Gig Salad's cancellation process or notify the Acceleration Gateway utilizing one of the following methods:

In addition, the Client must complete and submit a Cancellation Request form.

Late Cancellation. Cancellations are considered “late” when the Client does not cancel at least [15] days prior to signing of this agreement. Late cancellations will result in the Client forfeiting 50% of the total price of the scheduled service or event.

Late Rescheduling. Reschedule fees may apply for services, events, and/or appointments for late rescheduling (rescheduled after the 15-day prior to service/appointment/event threshold). Acceleration Gateway will attempt in good faith to reschedule to a date suitable for the Client according to availability. The Client must choose an available reschedule date and time within the 15-day threshold (15 days prior to signing of this agreement) or forfeit 50% of the total price of the scheduled service, appointment, or event.

Failure to Cancel. Cancellations are considered “failure to cancel” when the Client does not cancel at least [10] days prior to the scheduled event. Acceleration Gateway reserves the right to bill the Client for services for events in which the Client failed to Cancel or did not cancel within the 10-day threshold, even if the Speaker does not provide services. The Client will forfeit 100% of the price of the scheduled service, appointment, or event.

Booking Fees. Any booking fees charged to the client for scheduling a reservation or an appointment are non-refundable upon cancellation.

Provider Cancellation. If, for any reason, the Speaker must cancel a scheduled event or reservation, the Speaker will notify the Client as soon as possible and will work with the Client to reschedule the service or fully refund (including booking fees, if applicable) the Client for said cancelled appointment.

9. REFUNDS
Any refunds will be processed in the same method as the original payment.

Fee Waiver. Acceleration Gateway reserves the right, at their discretion, to waive any fee or penalty assessed hereunder for any reason they deem sufficient and reasonable.

10. INTELLECTUAL PROPERTY
Hereby, the Client agrees that any intellectual property provided by the Speaker will remain the sole property of the Speaker of Acceleration Gateway, including, but not limited to, copyrights, patents, trade secret rights, and other intellectual property rights associated with any ideas, concepts, techniques, inventions, processes, works of authorship, confidential information, or trade secrets.

11. EXCLUSIVITY
The Parties agree that this Agreement is not an exclusive arrangement and that the Speaker is entitled to enter into other similar agreements with other clients.

12. LIMITATION OF LIABILITY
In no event shall the Speaker and Acceleration Gateway be liable for any damages for any indirect, consequential, or special damages. The Speaker and Acceleration Gateway, hereby, make no guarantees, representations, or warranties of any kind or nature, expressed or implied, with respect to the services negotiated, agreed upon and rendered.

13. SEVERABILITY
In the event that any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, then the remaining provisions will remain in force in accordance with the Parties’ intention.

14. GOVERNING LAW
This Agreement shall be managed and construed in accordance with the policy set forth by Acceleration Gateway.

15. ALTERNATIVE DISPUTE RESOLUTION
Any dispute or difference whatsoever arising out of or in connection with this Agreement shall be submitted to arbitration, mediation, negotiation in accordance with, and subject to the laws of the state Texas.

16. ATTORNEY FEES
In the event of any dispute between the Parties concerning the terms and provisions of this Agreement, the party prevailing in such dispute shall be entitled to collect from the other party all costs incurred in such dispute, including reasonable attorneys’ fees.

17. ENTIRE AGREEMENT
This Agreement contains the entire agreement and understanding among the Parties hereto with respect to the subject matter hereof, and supersedes all prior agreements, understandings, inducements, and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent with any of the terms hereof.

18. AMENDMENTS
The Parties agree that any amendments made to this Agreement must be in writing, where they must be signed by both Parties to this Agreement.

As such, any amendments made by the Parties will be applied to this Agreement.
